Hashem ElHawari is a seasoned legal advisor with over 10 years of post-qualification experience advising on corporate and commercial law matters across the GCC and broader MENA region. His practice focuses on M&A, private equity, joint ventures, cross-border structuring, and regulatory compliance under Saudi Arabian law. He regularly advises both domestic and international clients—ranging from leading investment groups and industrial conglomerates to multinational corporations and private equity firms—on complex transactions and regulatory matters across a wide array of sectors including healthcare, automotive, manufacturing, manpower solutions, media, energy, and pharmaceuticals.

Hashem serves as lead counsel on high-stakes transactions in Saudi Arabia, including strategic share sales, asset sale deals exceeding SAR 400 million, and joint ventures between Saudi and foreign investors. He also advises on economic concentration filings before the General Authority for Competition (GAC) and provides legal guidance on compliance with MISA, SAMA, and other local regulatory frameworks. He has been seconded as in-house legal counsel to one of the region’s largest automotive companies and frequently collaborates with Magic Circle and other international law firms, supporting their clients with Saudi law matters, including transactional execution, structuring, and local regulatory compliance.

Hashem holds an LL.M. in International Business Law from Université Paris 1 Panthéon-Sorbonne and is admitted to the Egyptian Bar Association since 2010. He is fluent in Arabic, English, and French.

Reina El Ali

Reina El Ali is a Lebanese lawyer, qualified since 2013. Reina joined the finance practice team at HMCo in 2021, based in Dubai.

Before joining HMCo, Reina gained experience working with prominent law firms in the region.

With 13 years of experience in the Middle East, Reina specializes in corporate finance. Her expertise includes venture capital and private equity, mergers and acquisitions (M&A), company restructuring, corporate governance, cross-border transactions, and providing business-oriented legal advice on a wide range of matters across the region.

Reina led over 35 transactions ranging from early stage to Series B equity financing, secondary sales, and venture debt transactions across various sectors. Work included:

Ghazal Tarabzouni

Ghazal Tarabzouni has completed her Bachelors in Law LLB from King’s College London and obtained her LLM with a distinction – covering: Law of Islamic Finance, Human Rights of Women, Human Rights and Islamic Law, International Protection of Human Rights.

Ghazal is a qualified attorney admitted to practice by the Ministry of Justice in Saudi Arabia in 2020 and is part of Finance department in Hammad & Al-Mehdar Law Firm since July 2018.
