Reina El Ali is a Lebanese lawyer, qualified since 2013. Reina joined the finance practice team at HMCo in 2021, based in Dubai.

Before joining HMCo, Reina gained experience working with prominent law firms in the region.

With 13 years of experience in the Middle East, Reina specializes in corporate finance. Her expertise includes venture capital and private equity, mergers and acquisitions (M&A), company restructuring, corporate governance, cross-border transactions, and providing business-oriented legal advice on a wide range of matters across the region.

  • Reina led over 35 transactions ranging from early stage to Series B equity financing, secondary sales, and venture debt transactions across various sectors. Work included:
  • Drafting, reviewing, and negotiating convertible securities.
  • Conducting high-level legal due diligence, identifying risk mitigators, and preparing reports.
  • Drafting, reviewing, and negotiating definitive agreements and ancillary documents for equity financing deals, secondary sales transactions, mergers, and acquisitions.
  • Leading the transaction to close and overseeing the completion process.

  • Advised Abyan Capital on its Series A financing round led by STV, with the participation of Wa’ed Ventures (Aramco) and RZM Investment, with a total of USD 18 M raised.

  • Advised Sanabil Private Equity Investment Company on its USD 20 M Series B financing of Lendo Inc.

  • Advised Jahez International Company on its USD 7.5 M Series B financing of Grubtech.

  • Advised Raed II L.P. on its USD 10 M Series B financing of Noon Education.

  • Advised Sanabil Private Equity Investment Company on its USD 10 M Series A financing of NearPay.

  • Advised Merak Capital Company on its USD 10 M Series A financing of Jisr HR Holding.

  • Advised a majority shareholder on their sale of shares in a KSA-based conglomerate for SAR 143 M.
