يشغل هاشم الهواري منصب مستشار قانوني أول، ويتمتّع بخبرة قانونية تتجاوز عشرة أعوام بعد نيله رخصة المحاماة، حيث يقدّم الاستشارات في مجالات القانون التجاري وقانون الشركات في دول مجلس التعاون الخليجي ومنطقة الشرق الأوسط وشمال إفريقيا. ويركّز في ممارسته على عمليات الاندماج والاستحواذ، ورأس المال الخاص، والمشاريع المشتركة، و الهياكل القانونية الدولية، والامتثال التنظيمي وفقًا للقانون السعودي.

يقدّم هاشم استشاراته القانونية بشكل منتظم لعملاء محليين ودوليين، من بينهم مجموعات استثمارية رائدة، وتكتلات صناعية كبرى، وشركات عالمية، وشركات رأس مال خاص، في صفقات معقّدة ومسائل تنظيمية ضمن قطاعات متنوّعة تشمل الرعاية الصحية، والسيارات، والتصنيع، وخدمات القوى العاملة، والإعلام، والطاقة، والصناعات الدوائية.

ويشغل هاشم دور المستشار الرئيسي في العديد من الصفقات البارزة في المملكة العربية السعودية، بما في ذلك صفقات بيع حصص استراتيجية، وصفقات بيع أصول تتجاوز قيمتها 400 مليون ريال سعودي، ومشاريع مشتركة بين مستثمرين سعوديين وأجانب. كما يقدّم الاستشارات القانونية المتعلقة بملفات التركز الاقتصادي أمام الهيئة العامة للمنافسة، ويقدّم التوجيه القانوني بشأن الامتثال للوائح وزارة الاستثمار، والبنك المركزي السعودي (ساما)، والجهات التنظيمية المحلية الأخرى.

وسبق أن تم انتداب هاشم كمستشار قانوني داخلي لدى واحدة من أكبر شركات السيارات في المنطقة، وهو يتعاون بانتظام مع مكاتب المحاماة العالمية، بما في ذلك شركات من مجموعة "ماجيك سيركل"، حيث يوفّر الدعم القانوني لعملائهم في المملكة في مجالات تنفيذ الصفقات، والهياكل القانونية، والامتثال التنظيمي المحلي.

يحمل هاشم درجة الماجستير (LL.M.) في القانون التجاري الدولي من جامعة باريس الأولى – بانتيون سوربون، وهو عضو في نقابة المحامين المصرية منذ عام 2010. كما أنه يتقن اللغات العربية والإنجليزية والفرنسية.

  • Advising new k-12 investment platform promoted to undertaking investment activities in private schools with an allocated targeted investment of USD 400 Million.
  • Worked legal due diligences covering several sectors (education, oil and gas, telecommunication networks, renewable energy) as an initial step for M&As transactions and IPO project.
  • Advised on JV projects related to telecommunication networks and advising clients regarding the working legal framework governing the partnership.
  • Advised multinationals in relation to commercial contracts such as distribution, supply, manufacturing & toll manufacturing, trademark, franchise, introduction, loan, sponsorship, SPAs, Quotas Sale Agreement, nominee, SHA, NDA, MOU, LOI, escrow, advertising.
  • Advised private equity fund with an investment capital of USD 100M in healthcare sector focused on acquisitions of medical institutions (hospitals and clinics).

Ibrahim Alabdali joined the law firm of Hammad & Al-Mehdar in 2023. Ibrahim is a qualified Saudi lawyer, and a qualified private notary. 

Prior to joining Hammad & Al-Mehdar, Ibrahim has worked in an international and top tier law firm in Riyadh, Saudi Arabia. Ibrahim specializes in litigation, and arbitration. Ibrahim is part of the Dispute Resolution Department of Hammad & Al-Mehdar.

Reina El Ali is a Lebanese lawyer, qualified since 2013. Reina joined the finance practice team at HMCo in 2021, based in Dubai.

Before joining HMCo, Reina gained experience working with prominent law firms in the region.

With 13 years of experience in the Middle East, Reina specializes in corporate finance. Her expertise includes venture capital and private equity, mergers and acquisitions (M&A), company restructuring, corporate governance, cross-border transactions, and providing business-oriented legal advice on a wide range of matters across the region.

  • LLM, Commercial and Corporate Law (With Merit) from the University of London, Queen Mary.
  • LLB, from the Lebanese University in Beirut.

Reina led over 35 transactions ranging from early stage to Series B equity financing, secondary sales, and venture debt transactions across various sectors. Work included:

  • Drafting, reviewing, and negotiating convertible securities.
  • Conducting high-level legal due diligence, identifying risk mitigators, and preparing reports.
  • Drafting, reviewing, and negotiating definitive agreements and ancillary documents for equity financing deals, secondary sales transactions, mergers, and acquisitions.
  • Leading the transaction to close and overseeing the completion process.

  • Advised Abyan Capital on its Series A financing round led by STV, with the participation of Wa'ed Ventures (Aramco) and RZM Investment, with a total of USD 18 M raised.
  • Advised Sanabil Private Equity Investment Company on its USD 20 M Series B financing of Lendo Inc.
  • Advised Jahez International Company on its USD 7.5 M Series B financing of Grubtech.
  • Advised Raed II L.P. on its USD 10 M Series B financing of Noon Education.
  • Advised Sanabil Private Equity Investment Company on its USD 10 M Series A financing of NearPay.
  • Advised Merak Capital Company on its USD 10 M Series A financing of Jisr HR Holding.

Ghazal Tarabzouni has completed her Bachelors in Law LLB from King’s College London and obtained her LLM with a distinction – covering: Law of Islamic Finance, Human Rights of Women, Human Rights and Islamic Law, International Protection of Human Rights.

Ghazal is a qualified attorney admitted to practice by the Ministry of Justice in Saudi Arabia in 2020 and is part of Finance department in Hammad & Al-Mehdar Law Firm since July 2018.
